Uniform Pricing Policy

Vvole has adopted a Uniform Pricing Policy (“UPP”)

Vvole (“Vvole”) has implemented a Uniform Pricing Policy (“UPP”) because the interest of our company is to maximize the sales of its products and the services provided to its customers. For this reason, Vvole has suggested resale prices to its wholesale customers. These suggested prices are set at a level which permits distributors and resellers to have the income necessary for them to provide the level of service to retail customers that Vvole believes necessary to maximize our sales.  Our UPP allows for consumers to purchase from resellers of their choice, based on many criteria, including price, such as customer service and reliability.

Distributors and resellers always retain the legal right to sell at whatever level they choose.
However, Vvole reserves the right not to do business with any reseller when Vvole believes that continued business with the distributor or reseller is not in its best interest, such as when a distributor or reseller intentionally contravenes this UPP.
Policy and Guidelines:
  1. This UPP applies to all products sold by Vvole to its authorized resellers, including, but not limited to products bearing the FemmeFunn or Forto brand name (collectively the “Vvole Products”), no matter where such sales occur or by what medium.
  2. Distributors and resellers always retain the legal right to sell at whatever level they choose.
  3. This UPP applies to all wholesale customers of Vvole.
  4. Vvole publishes from time to time, a UPP Retail Price Sheet with two prices for each product: the Manufacturer’s Suggested Retail Price (MSRP); and the Minimum Selling Price (MSP).  The MSP is set below MSRP to allow Vvole resellers some room to adjust to market conditions.   The MSRP and MSP are established by Vvole and may be adjusted by Vvole at its sole discretion.
  5. The selling price for all Vvole Products shall not be less than MSP.
  6. Authorized resellers may sell Vvole Products for more than MSRP, as they choose.
  7. The UPP applies to all selling prices of all Vvole Products wherever advertised, in any and all media, including, but not limited to, e-mail, flyers, posters, coupons, mailers, inserts, newspapers, magazines, catalogs, mail order catalogs, Internet and other electronic media, television, radio and public signage.
  8. For the avoidance of doubt, the UPP applies to Vvole Products listed or offered for sale or auction on the Amazon Marketplace, eBay, Jet, Rakuten, or any other 3rd party website, no matter where located. 
PLEASE NOTE: Not all distributors or resellers are authorized to sell Vvole Products on 3rd party marketplaces.  Always check with your account representative. 
  1. Discounting through the use of rebates, coupons, percentage discounts, “see price in cart” or any similar means, which results in a net selling price below MSP contravenes the UPP. 
  1. The inclusion/bundling of free or discounted products (whether made by Vvole or another manufacturer) with a Vvole Product would be contrary to this UPP if it has the effect of discounting the selling price of the Vvole Product below MSP.
  2. Intentional and/or repeated attempts to sell below MSP may result in termination of Vvole’s relationship with reseller, at Vvole’s sole discretion. Vvole does not intend to do business with dealers who degrade the image of Vvole and its products.
  3. In the event Vvole becomes aware or is provided notice of a reseller violating the UPP, Vvole will notify the reseller of its non-compliance, and suspend sales and shipments of the specific Vvole Product(s) at issue for thirty (30) days.  A second incident will result in a thirty (30) day suspension of sales and shipments for all Vvole Products; a third incident will result in a ninety (90) day suspension of sales and shipments for all Vvole Products; a fourth incident will result in a one (1) year suspension of sales and shipments for all Vvole Products.
  4. From time to time, Vvole may publish a UPP Retail Price Sheet with certain Vvole Products having selling prices below their usual MSP for a limited time, or representing a permanent price reduction.
  5. Vvole will supply a copy of this UPP to any new or existing reseller.

THIS UPP IS NOT AN AGREEMENT BETWEEN YOU AND VVOLE AND IT IS NOT INCORPORATED INTO ANY RESELLER AGREEMENT, OR TERMS AND CONDITIONS OF SALE, OR INVOICE, OR ANY OTHER AGREEMENT BETWEEN YOU AND VVOLE.  IT IS SIMPLY A NOTICE OF VVOLE’S UNIFORM PRICING POLICY.
